Terms of Service

1. Acceptance of Terms

By accessing or using FocusLM ("Service"), operated by Hashedlab LLC (d/b/a "FocusLM," "we," "us," or "our"), 30 North Gould Street, Sheridan, WY 82801, United States, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

FocusLM is an AI product that builds structured, self-configuring memory. You describe a problem you want to work through; an agent interviews you, designs a memory structure for it, and files the material you provide as organized, searchable notes, so you receive grounded, project-specific help over time. The Service includes onboarding interviews, memory design and storage, structured ingestion of the content you provide, and related features.

3. Account Registration

To use the Service, you must create an account using Google authentication. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Generate, publish, or distribute content that is defamatory, obscene, harmful, or infringes on the rights of others.
  • Attempt to gain unauthorized access to the Service, other accounts, or systems connected to the Service.
  • Use the Service to send spam, unsolicited messages, or misleading content.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Resell, sublicense, or redistribute the Service without our prior written consent.

5. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Hashedlab LLC and protected by intellectual property laws. You retain ownership of the content you create using the Service ("Your Content"). By using the Service, you grant us a limited license to host, store, and process Your Content solely for the purpose of providing the Service to you.

6. AI-Generated Content

The Service uses artificial intelligence to interview you, design and maintain your project's memory, file the material you provide, and produce answers, captions, and (on request) images. AI output can be inaccurate or incomplete; you are responsible for reviewing it before relying on it, and for ensuring that any content you create, export, or share using the Service complies with applicable laws and the rights of others. We do not guarantee the accuracy, completeness, or suitability of AI-generated output.

7. Third-Party Integrations

The Service relies on third-party providers to operate — including large language model providers (currently Anthropic and OpenAI), sign-in via Google, hosting and storage, and payment processing. Your use of features that depend on these providers is also subject to their respective terms. We are not responsible for the availability, accuracy, or policies of third-party services.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the Service (or any part of it) at any time with or without notice. We are not liable for any downtime or service interruptions.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, HASHEDLAB LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, PARTNERS, AND LICENSORS (THE "COMPANY ENTITIES") DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. THE COMPANY ENTITIES DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY OUTPUT OF THE SERVICE (INCLUDING AI-GENERATED OUTPUT) WILL BE ACCURATE, COMPLETE, OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

11. Limitation of Liability

TO THE EXTENT NOT PROHIBITED BY LAW, YOU AGREE THAT IN NO EVENT WILL THE COMPANY ENTITIES BE LIABLE FOR ANY INDIRECT, SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, LOSS OF USE, DATA, OR PROFITS, OR BUSINESS INTERRUPTION) ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY ENTITIES HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

TO THE EXTENT NOT PROHIBITED BY LAW, THE COMPANY ENTITIES' TOTAL LIABILITY TO YOU FOR ANY DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID THE COMPANY ENTITIES, IF ANY, IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

By entering into these Terms and accessing or using the Service, you agree that you shall defend, indemnify, and hold the Company Entities harmless from and against any and all claims, costs, damages, losses, liabilities, and expenses (including attorneys' fees and costs) incurred by the Company Entities arising out of or in connection with: (a) your violation or breach of any term of these Terms or any applicable law or regulation; (b) your violation of any rights of any third party; (c) your misuse of the Service; (d) Your Content; or (e) your negligence or willful misconduct.

13. Termination

We may terminate or suspend your account at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. You may request deletion of your data in accordance with our Privacy Policy.

14. Dispute Resolution; Binding Arbitration; Class Action Waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have a jury decide your claims.

14.1 Agreement to arbitrate. Any dispute, controversy, or claim (collectively, a "Claim") relating in any way to the Company Entities' services and products, including the Service and any use, access, or lack of access thereto, will be resolved by binding arbitration, including threshold questions of the arbitrability of the Claim. You understand that by agreeing to these Terms, you and Hashedlab LLC are each waiving the right to a trial by jury and the right to participate in a class action.

14.2 Class action waiver. To the fullest extent permitted by applicable law, you and Hashedlab LLC each agree that any proceeding to resolve any Claim will be brought and conducted only in the respective party's individual capacity and not as part of any class, collective, consolidated, or representative proceeding.

14.3 Exceptions. Nothing in this section prevents either party from (a) seeking relief in a small-claims court for a Claim within that court's jurisdiction, or (b) bringing an action in court to obtain injunctive or other equitable relief for the alleged infringement or misappropriation of intellectual property or other proprietary rights.

14.4 Right to opt out. You may opt out of this arbitration agreement and class action waiver within thirty (30) days of first accepting these Terms by emailing legal@focuslm.ai with your name and a statement that you wish to opt out. Opting out will not affect any other provision of these Terms.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of laws rules. The proper venue for any disputes arising out of or relating to these Terms or the Service will be the arbitration venue set forth in Section 14, or, if arbitration does not apply, the state and federal courts located in Wyoming. This choice of law and venue does not deprive consumers resident in the European Economic Area of the protection of mandatory provisions of the law of their country of residence.

16. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
